DEALEXEC RSS END USER LICENSE AGREEMENT

This RCPlex Software End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and RCPlex Software, Inc. for the RCPlex Software software product(s) identified above, which may include associated software components, media, "online" or electronic documentation ("SOFTWARE PRODUCT"), or any other related component. By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not use the SOFTWARE PRODUCT or discontinue the use and completely uninstall the SOFTWARE PRODUCT.

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE. The SOFTWARE PRODUCT is licensed as follows:

a. Installation and Use. You may install and use an unlimited number of copies of the SOFTWARE PRODUCT.

b. Reproduction and Distribution. You may reproduce and distribute an unlimited number of copies of these components of the SOFTWARE PRODUCT; provided each copy shall be a true and complete copy, including all copyright and trademark notices, and shall be accompanied by a copy of this EULA. You are specifically prohibited from charging or requesting donations for any such copies of the SOFTWARE PRODUCT. Copies of the SOFTWARE PRODUCT may be distributed only as a standalone product and may not be distributed with other products without prior written permission.

c. RCPlex Software reserves all rights not expressly granted to you.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

a. Maintenance of Copyright Notices. You must not remove or alter any copyright notices on all copies of the SOFTWARE PRODUCT.

b. Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

c. No Separation of Components. The SOFTWARE PRODUCT is licensed as a single product and the software programs making up the SOFTWARE PRODUCT may not be separated for use by more than one user at a time.

d. Rental. You may not rent or lease the SOFTWARE PRODUCT.

e. Transfer. You may permanently transfer all of your rights under this EULA, provided the recipient agrees to the terms of this EULA.

3. TERMINATION. Without prejudice to any other rights, RCPlex Software may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

4. COPYRIGHT. All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by RCPlex Software or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by RCPlex Software.

5. DEALEXEC RSS COMES "AS IS". NO WARRANTY OF ANY KIND IS EXPRESSED OR IMPLIED. YOU USE AT YOUR OWN RISK. THE AUTHOR WILL NOT BE LIABLE FOR DATA LOSS, DAMAGES, LOSS OF PROFITS OR ANY OTHER KIND OF LOSS WHILE USING OR MISUSING THIS SOFTWARE. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH YOU.

6. NO LIABILITY FOR DAMAGES.

a. LIMITATION OF LIABILITY. IN NO EVENT SHALL RCPLEX OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR OPERATION OF, OR INABILITY TO USE THE SOFTWARE, THE SERVICES OR MATTERS RELATING TO THIS AGREEMENT, AND THE COLLECTION AND USE OF YOUR INFORMATION, EVEN IF RCPLEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, RCPLEX'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT, YOUR USE AND OPERATION OF THE SOFTWARE AND SERVICES, OR THE COLLECTION AND USE OF YOUR INFORMATION SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE OR US$5.00. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN DAMAGES OR LIMITATIONS OF LIABILITY OR THE DISCLAIMER OF CERTAIN WARRANTIES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

b. Under no circumstances RCPlex Software or it's suppliers may be responsible for data transfer charges, including GPRS and WiFi, but not limited to, that may occur caused by the SOFTWARE PRODUCT use.

7. MISCELLANEOUS.

a. If you acquired this product in the United States, this EULA is governed by the laws of the State of Florida, U.S.A.

b. If this product was acquired outside the United States, then local laws may apply.
